1. Definitions and interpretation

1.1 In this Agreement:

"Contribution" means the contribution defined in Schedule 1;

"Delivery Date" means the date for delivery of the Contribution specified in Schedule 1, or an alternative date specified by the Publishers in accordance with Clause 3.4;

"Fee" means the fee payable by the Publishers to the Contributor under this Agreement, as detailed in Schedule 1;

2. Assignment of rights

2.1 The Contributor hereby assigns to the Publishers [with full title guarantee] all the [existing and future] Rights.

[2.3 The Publishers may from time to time grant to the Contributor a licence to re-publish the Contribution upon such terms as the Publishers may specify. Where the Contributor requests such a licence [in [ circumstances ]], the Publishers will not unreasonably refuse to grant the licence.]

3. Delivery

3.1 The Contributor will deliver to the Publishers [by hand, courier or registered post] on or before the Delivery Date [one typewritten copy of the Contribution and one electronic copy of the Contribution], [double-spaced] [and in [Microsoft Word format / a format reasonably acceptable to the Publishers].

3.2 The Contributor will ensure that the Contribution delivered to the Publishers is of an acceptable standard. [For the purposes of this Clause, the Contribution will be of “an acceptable standard” if it:

(a) conforms to the definition of the “Contribution”;

(b) substantially reflects the contents of any specification, synopsis or outline provided by the Contributor to the Publishers before the date of this Agreement (subject to any later changes agreed by the Publishers); and

(c) is of at least a reasonable professional standard.]

6. Complimentary copy

On or after the first publication of [any work incorporating the Contribution], the Publishers will send to the Contributor a single complimentary copy of that work.

7. Contributor’s warranties and indemnity

7.2 The Contributor will indemnify and keep indemnified the Publishers in respect of all losses, damages, costs and expenses (including legal expenses and any amounts paid by the Publishers on legal advice in settlement of any claim) arising out of any breach of the warranties, representations and undertakings given in this Clause 7 [and any alleged breach of the warranty in Clause 7.2(e)].

10. Moral rights

10.1 The Contributor [asserts / waives] his or her right to be identified as the author of the Contribution[, and the Publishers will include a notice of that assertion in every copy of any work incorporating the Contribution (and will require licensees of Rights under this Agreement to include a notice of that assertion in every copy any work incorporating the Contribution)].

[10.2 The Publishers will include, and will ensure that all licences of Rights require the licensee and any sub-licensee to include, the Contributor’s name (or pseudonym) in all published copies of any work incorporating the Contribution.]

[10.3 The Contributor hereby waivers his or her right to object to the derogatory treatment of the Contribution.]
